1. Scope of This Agreement
This Dataset License Agreement ("License") governs your use of any dataset you purchase or subscribe to through Datlyne, whether delivered as a downloadable file (CSV, Parquet, or another shipped format) or accessed live through the Datlyne Data API. It applies in addition to, not instead of, our Terms of Service.
Where this License and the API Terms both apply (because you access a dataset both as a download and through the API), the API Terms govern your use of the API itself (keys, rate limits, availability), and this License governs what you may do with the data you receive either way.
By completing a purchase or starting a subscription, the purchasing individual or organization ("Licensee", "you") accepts this License for that dataset.
2. Grant of License
Subject to payment and to the restrictions in this License, Datlyne grants you a perpetual, worldwide, non-exclusive, non-transferable, and non-sublicensable license to use the purchased dataset.
"Perpetual" means the license does not expire or need to be renewed for data you have already purchased. "Non-exclusive" means Datlyne can license the same dataset to others. "Non-transferable" and "non-sublicensable" mean the license is granted to you and your organization specifically, and cannot be sold, assigned, or passed on to a separate company or individual without our written consent.
3. Permitted Uses
Within your own organization, you may:
- Use the dataset for internal analysis, testing, development, demos, and training purposes.
- Build and ship applications, prototypes, and products that read from or are seeded with the dataset.
- Train, fine-tune, and evaluate machine learning models on the dataset.
- Produce reports, dashboards, benchmarks, aggregated statistics, and other analyses derived from the dataset.
- Make copies of the dataset for backup, staging, and disaster-recovery purposes within your own systems.
These uses are permitted for the licensed organization's employees, contractors, and agents acting on its behalf.
4. Prohibited Uses
You may not, under any circumstances:
- Redistribute, resell, sublicense, rent, or otherwise make the raw dataset available to any third party, whether for payment or free of charge, in whole or in significant part, in its original or a reformatted form.
- Publish the raw dataset, or a bulk export of it, anywhere publicly accessible, including public code repositories, public data catalogs, or open file shares.
- Use automated or repeated API queries to systematically reconstruct and export a dataset's full contents beyond what your subscription's fair use limits contemplate, as a workaround to redistributing the raw download.
- Represent the dataset, or any record within it, as real data describing an actual person, business, or transaction.
- Remove or obscure Datlyne's copyright or proprietary notices from the dataset files.
"Raw dataset" means the data substantially as delivered by Datlyne. It does not include your derived works; see the next section.
5. Derived Works Are Yours
Models, reports, dashboards, embeddings, aggregated statistics, synthetic samples you generate, and any other work product you create using the dataset ("Derived Works") belong to you. You may use, keep, share, and commercialize your Derived Works freely, including after this License ends, provided the Derived Work does not itself function as a substitute for redistributing the raw dataset.
For example: a fraud-detection model trained on a Datlyne dataset is your Derived Work and yours to sell or deploy. A ZIP file of the same dataset handed to a client is not a Derived Work; it is the prohibited redistribution described above.
Datlyne retains all ownership of the underlying dataset itself. This License grants you rights to use it; it does not sell you the dataset or assign us any rights in your Derived Works.
6. License Scope: One Organization
Each purchase licenses one organization (the account holder and its affiliated employees, contractors, and agents), and not a wider group of unrelated companies or individuals.
If you are an agency, a professional firm, or a platform that wants to use a dataset on behalf of multiple separate clients, or to grant access to unaffiliated third parties, contact us about a multi-entity or enterprise license rather than relying on a single standard purchase.
7. Data Delivered Through the API
If your subscription includes live access to a dataset through the Datlyne Data API, the permitted and prohibited uses in this License apply equally to data you retrieve through the API and to data you download as a file. Access to the API itself (keys, rate limits, availability) is governed by the API Terms.
8. This License Survives Closing Your Account
The license to a dataset you have already purchased does not depend on keeping a Datlyne account open or an API subscription active. If you close your account or let a subscription lapse, you keep the rights this License already granted you over data and Derived Works from purchases you completed, subject at all times to the restrictions above.
This is separate from live API access, which is tied to an active subscription and ends when that subscription ends, as described in the API Terms.
9. Synthetic Data: What You Are Actually Licensing
Every dataset Datlyne publishes is fully synthetic. It is modeled and benchmarked against real-world statistical distributions, reproducing the volumes, correlations, seasonality, and operational shape of real enterprise systems without containing a single real person's or organization's actual record. That is why a Datlyne dataset ships to you instantly: no NDA, no extraction request, and no compliance review stands between checkout and your first query.
Because the data is synthetic by construction, Datlyne does not warrant that any individual value, pattern, or outlier corresponds to real-world fact, and the dataset must not be used or represented as an authoritative factual record of any real entity, transaction, or event. Use it to build, train, test, and demonstrate, not to report an external truth it was never designed to hold.
Datasets are otherwise provided "as is." Datlyne warrants that it has the right to license the dataset to you free of any third party intellectual property claim, but makes no other warranty, express or implied, beyond what this section and the Terms of Service state.
10. Termination, Changes, and Contact
Datlyne may terminate this License for a specific dataset if you materially breach the prohibited uses above and do not correct the breach within a reasonable period after written notice. Termination for breach does not entitle you to a refund and does not affect Derived Works already created in compliance with this License before the breach.
We may update this License from time to time. Each version carries its own effective date; the version in force at the time of your purchase governs that purchase, and continued use of a dataset after a new version takes effect constitutes acceptance of the update for future use.
